Terms of Service

Please read these Terms of Service carefully before using Arab First's services. These Terms govern your relationship with Arab First Business Setup Services LLC and form a binding legal agreement.

Agreement to Terms
- By accessing our website at arab-first.ae or engaging Arab First Business Setup Services LLC for any services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our services.
- These Terms constitute a legally binding agreement between you ('Client') and Arab First Business Setup Services LLC, a company registered in the UAE ('Arab First', 'we', 'us').
- We reserve the right to update these Terms at any time. Continued use of our services following notification of changes constitutes your acceptance of the revised Terms.

Services
- Arab First provides professional business setup services including mainland and free zone company formation, trade licensing, visa processing, PRO services, corporate banking assistance, accounting, bookkeeping, payroll, legal documentation, and workspace solutions.
- All services are subject to a separate engagement agreement or service order, which will specify the exact scope, deliverables, fees, and timelines for your specific requirements.
- Arab First acts as a professional intermediary and facilitator. We do not guarantee the outcome of any government application, as final approvals rest with the relevant UAE authorities (DED, GDRFA, free zone authorities, MOHRE, etc.).
- Service timelines are estimates based on standard government processing times. Arab First is not liable for delays caused by government authority processing backlogs, incomplete client documentation, or changes in regulatory requirements.

Client Obligations
- You agree to provide accurate, complete, and up-to-date information and documentation as required for the services requested. Providing false or misleading information may result in rejection of applications and will not entitle you to a refund of government fees paid on your behalf.
- You are responsible for ensuring that the business activity you intend to conduct is permitted under your chosen license type and jurisdiction. Arab First will advise, but ultimate responsibility for regulatory compliance rests with you.
- You must promptly review and respond to our requests for information, documentation, signatures, or payments. Delays on your part may affect the timeline of your application.
- You agree not to use our services for any unlawful purpose, including but not limited to money laundering, tax evasion, or any activity prohibited by UAE federal or emirate law.

Fees and Payment
- Our fees consist of Arab First professional service fees and applicable government fees, as quoted in your engagement agreement. Fees are quoted in UAE Dirhams (AED) unless otherwise stated.
- Government fees are paid by Arab First on your behalf and will be invoiced to you at cost. These fees are non-refundable once paid to the relevant authority, regardless of the outcome of your application.
- Arab First professional service fees are due as specified in your engagement agreement. We reserve the right to suspend services if payment is not received within the agreed timeframe.
- All prices are exclusive of UAE Value Added Tax (VAT) at 5%, which will be added to your invoice where applicable.
- Refunds of Arab First professional fees are at our discretion and are generally only available if we are unable to commence work on your engagement. No refunds are available for government fees paid.

Intellectual Property
- All content on the Arab First website — including text, graphics, logos, images, and software — is the property of Arab First or its licensors and is protected by UAE and international intellectual property laws.
- You may not reproduce, distribute, or create derivative works from our website content without our prior written consent.
- Any documents, templates, or materials we prepare specifically for your engagement remain the property of Arab First until all fees have been paid in full, at which point ownership transfers to you.

Confidentiality
- Both parties agree to maintain strict confidentiality regarding all information exchanged during the course of our engagement. Arab First will not disclose your confidential business information to third parties except as required for service delivery or by law.
- This obligation of confidentiality survives the termination of our engagement for a period of five (5) years.
- Confidentiality does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by a court order or regulatory authority.

Limitation of Liability
- Arab First's total liability to you for any claim arising from our services is limited to the amount of professional fees paid by you to Arab First in the three (3) months preceding the event giving rise to the claim.
- Arab First is not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profit, loss of business, or reputational damage.
- We are not liable for losses arising from: delays or rejections by UAE government authorities; changes in UAE law or regulations after engagement commencement; your failure to provide accurate documentation; or force majeure events.
- Nothing in these Terms limits or excludes our liability for fraud, death, or personal injury caused by our negligence.

Termination
- Either party may terminate the engagement by providing written notice. If you terminate after work has commenced, you remain liable for all government fees already disbursed and a pro-rata portion of Arab First professional fees for work completed.
- Arab First may terminate the engagement immediately if you provide fraudulent information, fail to pay fees when due, or request us to perform any unlawful act.
- Upon termination, we will return your original documents and transfer any partially completed applications to you or your nominated representative.

Governing Law and Dispute Resolution
- These Terms are governed by the laws of the United Arab Emirates, and specifically the laws of the Emirate of Dubai.
- Any dispute arising out of or in connection with these Terms shall first be referred to mediation. If mediation fails within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Dubai, UAE.
- You agree that any legal proceedings will be conducted in Arabic and English, with the Arabic version prevailing in the event of conflict.
